Submitting documents directly at the registrar of companies

The required documents to incorporate a company in Mauritius can be submitted directly at the office of the Registrar of Companies in Port Louis. 
Any person who wishes to incorporate a company in Mauritius and Rodrigues should ensure that the name is available prior to incorporation.  

Submitting documents online

For online incorporation you will need to register with the Mauritius Network Services  (The registrar of company's online service provider).

Fill the prescribed form " Application for incorporation of a company" (Form 1) and submit it to the Registrar of Companies together with forms  78 or 9 where necessary.

The application form shall state:

  • Name of proposed company
  • The present full name, any former name and the usual residential address and the service address of every director and any secretary of the company
  • Particulars of any business occupation and directorships in any public company or subsidiary of a public company held by each director. Should the proposed director be director of several subsidiaries of a single group, it shall suffice to state the name of the holding company with the addition of the word `group`
  • The full name, the usual residential address and the service address of every shareholder, the number of shares to be taken and the amount to be paid.
  • Whether the company is limited or unlimited
  • Whether the company is a private or a public company
  • The registered office address of the company
  • In the case of a one person company, the full name, the usual residential address and the service address of the person nominated by the proposed director to act as secretary who will call a meeting of heirs in the event of death of the sole director
  • The business activities, location of the business as per the Business Registration Act
  • That the information provided in the application is true and correct.
  • The full name of the applicant

The following documents shall accompany the application form:

  • Where the company has a constitution, a copy of that constitution certified by at least one applicant to be the company's constitution 
  • The signed consent  of every proposed director or secretary that they are not disqualified to hold office as such
  • The signed consent of every proposed shareholder containing the number and class of shares taken and the amount paid for those shares
  • In the case of a company limited by guarantee, a document signed by each member, signifying his consent to be member and the amount which such persons undertake to contribute in the event of the company's winding up
  • If the documents are signed by an agent representing the shareholder or member a form of proxy authorising the agent to so act.

Where the application for incorporation complies with the Act and on payment of the prescribed fee the Registrar will: 

  • issue a certificate of incorporation
  • enter the particulars of the company on the Register give to the company a unique company number.

Further, the following documents should be submitted when applying for incorporation:

  1. Original Copy of  Certificate of Reservation  (if any).
  2. Photocopy of  Passport for non-residents.
  3. Copy of residence permit  if the  only director  is a  foreigner. 
  4. Proof of director’s address (Ex: Utility Bill).
  5. Proof of address of secretary in case of one person company.

Please note the following: 

  • At least "One Director" should be resident in Mauritius.
    This is not to be confused with a Mauritian national;  it also means a foreigner with a valid residence permit issued by the Economic Development Board Mauritius (EDB).
  • This article does NOT address the Incorporation of a Company holding a Global Business Licence (GBL), the incorporation is only effected after approval is received from the Financial Services Commission (EDB). PAYMENT OF ANNUAL REGISTRATION FEES BY COMPANIES, SOCIETE COMMERCIALES, LIMITED PARTNERSHIPS, LIMITED LIABILITY PARTNERSHIPS AND FOUNDATIONS FOR 2019

The public is hereby informed that, in accordance with the Companies Act 2001, the Limited Partnerships Act 2011, the Limited Liability Partnerships Act 2016 and the Foundations Act 2012, annual registration fees should be paid during the period 03 January to 22 January 2019.

Payment of fees in respect of the following may be effected as from the 1st working day

i.e. 3 January 2019 to 22 January 2019 at the office and online.

See note (4) for early payment

Online payment may be effected as from 1 st January 2019

  1. Payment of Registration Fees by a Small Private Company

Small private companies are reminded that payment of 2019 annual fees depends on their turnover i.e. -

A fee of Rs 500 is payable in case turnover does not exceed Rs 10 Million.

  * Note (1):      The amount to be claimed as Registration fee will be based on the turnover recorded at this Office.

  In case the financial summary has not been filed or not due yet, the fees must be accompanied by a Declaration made by the Director(s) that the turnover of the Company has not exceeded 10 million rupees during the last preceding accounting period.

  A specimen of the Declaration Form may be downloaded from their Website or collected at the Counter on the ground floor of the office.

2. Procedures for payment of Registration fees

  Pursuant to paragraph 5 (1) & (2) of the Regulation dated 9 January 2016 (GN 3 of 2016 refers):

  The following entities mus t according to the above regulations use the online service:

  1. A person providing a service  by  making  a  filing  or  payment  required  under the Act or a relevant Act.
  2. Audit Firm.
  3. Company with turnover of 50 million rupees or more.
  4. Corporate Secretary or firm providing secretarial services.
  5. Law firm.
  6. Management company or company with a management licence issued under the Financial Services Act.
  7. Registered Agent
3.  Modes of Payment

Payment can be effected in the following manners:
 
a) BY CASH ONLY AT THE OFFICE
Payment may be effected as follows:-
 
By calling at the Cash Office situated on ground floor at One Cathedral Square Building, Jules Koenig Street, Port Louis during the following official hours:
 
Weekdays: 8.30 a.m. to 4.30 p.m.
Saturdays:   8.30 a.m. to 12.00 hours
 
b)  PAYMENT BY CHEQUES

Cheques to be deposited or posted should reach this office on or before 22 January at latest by 4.00 p.m otherwise a different fee will be applicable.
 
The cheque should:
  • be payable to the Government of Mauritius
  • be crossed
  • clearly indicate on verso, the file number and name of the company and the name, address and phone number of a contact person.

c) ONLINE PAYMENT:

In order to effect online payment, the entities listed at (2) above (if not already registered) should be registered with the Mauritius Network Services (MNS) at  https://servicemns.mu . For more information you may call the MNS customer services department on 401-6805.
 
Procedures for paying online
Once registered the following steps must be followed: 
i.  Click on the ‘Yearly Fees Menu’ which will load the ‘Yearly Fees Dashboard’
  • ii. Select the ‘Search Yearly Fees’ tab
iii.  Choose the appropriate currency (MUR or USD) and click ‘Search Pending Fees’
iv. Once a list of ‘pending yearly fees’ appear, select the company/ companies for which payment has to be effected. The item(s) will instantly be added to cart. A cart summary is displayed on the right- hand side of the application
v. To effect payment, select the appropriate ‘mode of payment’ , be it  ‘Deposit Account’ (MUR & USD), ‘Electronic Payment’ (MUR only) or  ‘Credit Card’ (MUR only).

d) PAYMENT FROM DEPOSIT ACCOUNT

Note (2): Companies operating a Deposit A/C with CBRD should ensure that they replenish same before 31st December 2018 to enable payment of Registration Fees for 2019 as from 3rd January 2019.

e)  ELECTRONIC TRANSFER VIA LOCAL BANKS (FOR MUR ONLY)

f)   BY DEBIT/CREDIT CARDS

Note (3):- A Service Charge of 1.725% is applicable for payment of Registration fees exceeding Rs 25 000 by Credit/Debit cards

Companies, Sociétés, Limited Partnerships, Limited Liability Partnerships and Foundations are reminded that it is their responsibility to ensure that payment of Registration Fee is effected not later than 22 January 2019. After the due date, i.e. 22 January 2019, another fee is applicable as per above schedule.
The public is also informed that a list of Companies/ Sociétés Commerciales/ Limited Partnerships/ Limited Liability Partnerships and Foundations with the corresponding annual registration fees payable is available on their website

Note (4):- Early payment of registration fees will be accepted by the Office as from 17 December. The same modes of payments apply.

Non-payment of Registration fee amount to an offence under the Act.
